Transaction Advisory
Our bread and butter is insurance due diligence. While sometimes erroneously mistaken for a coverage review, we take a different approach. Because insurance cannot be assessed out of context, we join your deal team as a cross-discipline advisor. We examine the transaction, the target company and then the insurance and benefits programs to understand if EBITDA adjustments are warranted and if optimization of programs is feasible at close.
In addition to due diligence, we facilitate Representation & Warranty Insurance, Key Man Insurance, provide lenders with insurance documents required for closing, procure new insurance as required by the transaction, and advise on all insurance and benefits matters related to the transaction, including the purchase agreement, new lease agreements, client and vendor contracts.

Andy has spent over two decades in insurance and is a nationally recognized leader in private equity advisory.
Following his second stint at Aon’s Global Mergers & Acquisitions Group, in 2014, he built and lead an industry-first transaction advisory team at a boutique insurance broker focused on lower mid-market PE.
Andy takes a complete view of risk that considers financial and legal vectors to help business leaders understand their exposure and make decisions that align with their long-term goals.

Josh Richman
Co-Founder
Josh brings deep expertise from his senior roles at HUB International, Equity Risk Partners, and Symphony Risk.
Mentored by one of the pioneers of private equity-focused insurance solutions, Josh’s approach is anchored in pattern recognition, developed through his involvement in countless transactions over more than a decade.
